Foundation governance

Three categories under the Foundation.

Bundu Foundation is a Zimbabwe Companies Limited by Guarantee (CLG). Below it, work is organised into three categories. The boundaries are intentional — what is Foundation-pure stays open-source and uncommercialised; what is operated by Nyuchi is governed by the Foundation.

  • Foundation projects

    Open-source assets, no Nyuchi commercial involvement.

    Pure Foundation projects. ZIP (Zimbabwe Information Platform, ZTI codebase), NTL (Neural Transfer Layer), SiafuDB and SiafuDB-Kuzu, and Harare Metro. They live in the bundu-labs, openNTL, and siafuDB GitHub organisations.

  • Foundation initiatives

    Programmes, not products.

    Bundu Education is the canonical initiative — the education division of the Foundation. Nyuchi Learning is its commercial expression: how organisations buy in, with revenue routed back through the Foundation's structure.

  • Foundation-governed, Nyuchi-operated

    The shared category.

    The four platform tokens (MIT, MXT, NST, NHC) are governed by the Foundation and operated by Nyuchi. The Nyuchi Honeycomb decentralised network — beyond Web3, post-quantum ready, in active development — sits here too because it depends on NHC and NST. Nyuchi Gov Tech rounds out the category as the commercial vehicle for state work.

Shareholder structure

Three voting shareholders. Investors hold non-voting economic shares.

Nyuchi Africa (Pvt) Ltd has three voting shareholders: Bryan Fawcett personally, the Fawcett family holding company, and the Bundu Foundation. Investors receive non-voting economic shares only.

The structure is deliberate. The Foundation carries governance over the platform tokens, the Foundation projects, and the categories above. The voting block cannot be displaced by capital. Mission alignment is a structural property, not a covenant we have to keep renewing.
